Minimum Age

To use certain parts of the Services, you may need to create an account. You agree to provide accurate and complete information during registration and to keep it updated.

You may not share your credentials with anyone else and are responsible for all activities under your account. If you create an account or use the Services on behalf of another organization, you confirm that you have the authority to accept these Terms on their behalf.

What You Can Do

Subject to your compliance with these Terms, you may access and use the Services. While using the Services, you agree to follow all applicable laws and any policies, guidelines, and documentation we provide.

What You Cannot Do

You may not use our Services for unlawful, harmful, or abusive activity. You may not:

• Misrepresent AI-generated output as human-generated.
• Interfere with or disrupt the Services, bypass security measures, or evade usage limits.
• Use Output to create or train competing AI models or systems.

Software

Our Services may include downloadable software (like mobile apps). Updates may be applied automatically for security and performance. Some components may contain open-source software governed by their respective licenses.

Corporate Domains

If you register using an organization-owned email address (such as your employer), your account may be managed by that organization, including access control and content monitoring, where allowed by law.

Third-Party Services

The Services may integrate or include third-party services, features, or content (“Third-Party Services”). We are not responsible for Third-Party Services, which are governed by their own terms.

Feedback

If you provide feedback, you agree that we may use it without restriction or compensation.

Your Content

You may provide input (“Input”) and receive responses (“Output”). Input and Output together are “Content.”

You are responsible for your Content, including ensuring it complies with applicable law and these Terms. You confirm that you have all rights, permissions, and authorizations needed to provide Input.

Ownership of Content

As between you and GastroAGI:

• You retain ownership of Input.
• You own Output to the extent permitted by applicable law.
• We assign to you our rights, if any, in Output, except as noted below.

Similarity of Output

Because AI systems generate responses probabilistically, Output may not be unique, and other users may receive similar results. Your ownership does not extend to other users’ outputs or third-party outputs.

Our Use of Content

We may use Content to:

• Operate, maintain, improve, and secure the Services
• Comply with legal requirements
• Enforce these Terms and related policies

Opt-Out (Model Training)

If you do not want your Content used for improving our AI systems, you may request opt-out by emailing: [email protected]

Please note that opting out may reduce certain personalization or performance features.

AI and machine learning may produce results that are incomplete, incorrect, or inappropriate.

By using the Services, you understand and agree:

• Output may not always be accurate.
• You must verify Output independently before relying on it.
• The Services are not a substitute for professional medical, legal, or financial advice.
• You must not use Output to make decisions that could significantly affect a person's health, legal rights, employment, insurance, or education without professional oversight.

We and our licensors own all rights, title, and interest in the Services and associated intellectual property.

You may not use our name, logo, branding, or trademarks without written permission.

If you purchase a paid plan or subscription:

• You must provide valid billing details.
• Subscriptions renew automatically unless canceled.
• Payments are generally non-refundable except where required by law.
• Pricing may change, but we will provide notice before renewal if applicable.

You may stop using the Services anytime.

We may suspend or terminate access if:

• You violate these Terms or our policies.
• We must do so to comply with the law.
• Your use creates risk or harm to the platform, users, or others.

We may also terminate inactive accounts (typically after 12 months), with advance notice when feasible.

We may discontinue the Services at any time. If you have prepaid unused Services, we may provide refunds when legally required.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• QUIET ENJOYMENT

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE.

YOU USE OUTPUT AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING:

• LOSS OF PROFITS
• LOSS OF DATA
• LOSS OF GOODWILL

OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID FOR THE SERVICES IN THE LAST 12 MONTHS, OR
• USD $100

Some jurisdictions do not allow certain liability limits, so some provisions may not apply to you.

If you are a business or organization, you agree to indemnify and hold harmless YRAM BIOSOLUTIONS, DNJ TECHX, and our personnel from:

• Claims
• Damages
• Expenses (including legal fees)

Arising from your use of the Services or violation of these Terms.

If unresolved, disputes will be handled under the governing law and courts described below, unless arbitration is required by law or mutually agreed.

Your complaint must include:

Assignment

You may not transfer your rights or obligations under these Terms without our consent. We may assign our rights to affiliates or successors.

Changes to These Terms

We may update these Terms from time to time. If changes materially reduce your rights, we will provide at least 30 days' notice when feasible.

Continued use after updates means acceptance of the revised Terms.

Delay in Enforcement

Our failure to enforce a provision is not a waiver of future enforcement.

Trade Controls

You must comply with applicable sanctions and export laws. You may not use Services in prohibited territories or for prohibited end uses.

Entire Agreement

These Terms constitute the entire agreement between you and GastroAGI regarding the Services and supersede prior agreements.

Governing Law

These Terms are governed by the laws applicable in your operational jurisdiction. Unless otherwise required by law, disputes shall be brought in the courts with jurisdiction where the operator maintains its principal place of business.
